StageCUE Commercial Licensing Terms

These Commercial Licensing Terms (“Terms”) govern the purchase and use of StageCUE software for commercial, professional, corporate and organisational purposes.

By purchasing or using a StageCUE commercial licence, the Licensee agrees to these Terms, the StageCUE End User Licence Agreement (EULA), Privacy Policy and other applicable terms published on the official StageCUE website.

Where the Licensee is a consumer in the European Union or European Economic Area (EU/EEA), nothing in these Terms excludes or restricts mandatory consumer rights that cannot lawfully be waived or limited by contract.

1. Licensor and Rights Holder

Exclusive rights in the StageCUE software are held by:

Hereinafter referred to as the “Licensor” or “Rights Holder”.

2. Software and Licence Grant

StageCUE is professional software designed for playback, control and automation of audio, video and multimedia content for concerts, theatres, broadcasts, conferences, presentations, shows and other events.

StageCUE is licensed, not sold.

Subject to payment and compliance with these Terms and the EULA, the Licensor grants the Licensee a limited, non-exclusive and non-transferable right to use StageCUE within the duration, device scope and other conditions of the selected licence.

Purchase of a licence does not transfer copyright, source code, ownership of the software or any other intellectual property rights in StageCUE.

3. Commercial and Professional Use

Commercial or professional use includes any use connected with paid work, provision of services, business operations, event production, public or institutional activities or other professional activity.

This includes, but is not limited to:

  • concerts and live events;
  • theatres and cultural institutions;
  • television and online broadcasts;
  • corporate events and conferences;
  • festivals and exhibitions;
  • presentations and shows;
  • rental and production companies;
  • sound, lighting and video production;
  • multimedia installations;
  • government and municipal institutions;
  • professional services provided to third parties.

4. Commercial Licence Requirement

Commercial and professional use of StageCUE requires a valid licence of the appropriate type.

The current licence price, duration and material characteristics are displayed on the relevant product page and during checkout.

The price confirmed at checkout applies to that order, subject to applicable taxes and payment conditions.

5. Licence Types

7-Day Licence — permits licensed use of StageCUE for 7 calendar days from the start date encoded in the licence file.

30-Day Licence — permits licensed use for 30 calendar days from the start date encoded in the licence file.

Lifetime / Perpetual Licence — permits continued use of the licensed StageCUE version without an expiry imposed by the licensing system.

A perpetual licence is a one-time purchase and is not a subscription.

Unless expressly stated otherwise at the time of purchase, a perpetual licence does not automatically include future separate products, optional paid modules or separately licensed major versions.

Corporate Licences may be provided under individually agreed conditions, including multiple workstations, invoicing, technical support and custom development.

6. Licence Period

The licence period is determined by the selected licence type.

Fixed-term licences expire automatically at the end of the period encoded in the licence file.

Continued licensed use after expiry requires a new valid licence.

Expiration of a fixed-term licence does not constitute termination for breach.

7. How to Purchase and Activate StageCUE

  1. Install StageCUE on the computer where it will be used.
  2. Generate a Licence Request File in StageCUE.
  3. Select the required licence on the official website.
  4. Provide accurate licence-holder and billing information.
  5. Upload the Licence Request File.
  6. Review the licence type, duration, price and device scope.
  7. Complete payment.
  8. After processing, receive your individual StageCUE licence file.
  9. Load the licence file into StageCUE.

8. Licence Request File

The Licence Request File contains technical information required to generate an individual StageCUE licence.

The file must be generated on the computer on which StageCUE will be used.

The Licensee is responsible for providing the correct Licence Request File.

If an incorrect file is submitted, the Licensor will provide reasonable assistance where technically possible and subject to the selected licence type and applicable legal rights.

9. Licence File

The StageCUE licence file is technical evidence of the licence granted to the Licensee.

The Licensee should keep the licence file secure and may retain reasonable backup copies for lawful personal or organisational use.

Licence files may not be:

  • sold or resold;
  • published or publicly distributed;
  • forged or modified;
  • rented or sublicensed;
  • transferred to unauthorised third parties;
  • used to circumvent StageCUE technical protection or licensing systems.

10. Device Binding

A StageCUE licence may be technically bound to a specific computer or hardware configuration using information contained in the Licence Request File.

A licence generated for one computer may not operate on another computer.

Replacement of the computer or significant hardware changes may require generation of a new licence file.

Requests for licence transfer or re-issuance are assessed according to the licence type, remaining licence period, reason for the change, technical feasibility and applicable mandatory legal rights.

11. Licence Holder Information

A StageCUE licence may be issued to:

  • an individual;
  • a sole trader or individual entrepreneur;
  • a company or other legal entity;
  • an organisation or institution.

Information required for licensing may include the licence holder’s name, company name, registration or tax information, billing address, country, contact person, email address and telephone number.

Only information reasonably necessary for contracting, payment, invoicing, licensing, legal compliance and support should be collected.

Where GDPR applies, personal data is processed in accordance with the StageCUE Privacy Policy and applicable data protection law.

12. Number of Computers

Unless expressly stated otherwise on the product page or in an individual agreement, one StageCUE licence is intended for one computer for which the Licence Request File was generated.

Simultaneous use on multiple independent computers may require separate licences.

Corporate agreements may provide different workstation limits.

13. Rights Granted by a Commercial Licence

A valid commercial licence permits the Licensee to use StageCUE for professional and commercial purposes within the purchased licence duration and device scope.

The licence may also provide access to software updates and technical support according to the conditions applicable to the purchased licence.

No exclusive intellectual property rights are transferred to the Licensee.

14. Restrictions

Except where applicable law expressly provides otherwise, the Licensee may not:

  • resell or sublicense StageCUE licences;
  • rent licence files;
  • distribute modified copies of StageCUE;
  • remove copyright or ownership notices;
  • interfere with or circumvent the licensing mechanism;
  • create or distribute tools intended to bypass licence protection;
  • use forged, modified or unlawfully obtained licence files.

Nothing in these Terms restricts rights that cannot lawfully be excluded, including mandatory rights relating to interoperability or other acts expressly permitted by applicable law.

15. Rental Companies and Technical Contractors

Rental companies, event production companies and technical contractors may use StageCUE provided that each relevant installation or workstation is properly licensed.

Providing equipment with StageCUE installed to a customer does not transfer ownership of the software or the licence unless expressly agreed in writing.

16. Updates

The Licensor may release bug fixes, technical updates, compatibility improvements, new functions and new versions of StageCUE.

The frequency and content of optional updates are determined by the Licensor.

This does not affect any mandatory obligation to provide updates, including security or conformity updates, where required by applicable consumer law.

17. Major Versions and Additional Modules

The Licensor may release new major versions, modules, extensions or separate products under different commercial conditions.

A perpetual licence does not automatically grant rights to future separate products, paid modules or separately licensed major versions unless expressly included in the original offer.

Mandatory consumer rights concerning conformity and necessary updates remain unaffected.

18. Technical Support

Eligible StageCUE Licensees may contact official support channels for:

  • licensing assistance;
  • installation and configuration guidance;
  • compatibility information;
  • update information;
  • technical troubleshooting.

Support cannot guarantee resolution of every technical issue because operation of StageCUE may depend on third-party hardware, drivers, operating systems, networks and other software.

19. Use at Live Events

Before using StageCUE at a live event, the Licensee should test:

  • the complete StageCUE project;
  • audio and video files;
  • audio interfaces and routing;
  • video outputs;
  • MIDI, OSC and LTC control;
  • NDI and network connections;
  • connected external equipment.

Professional users should maintain appropriate backup playback and contingency arrangements.

A commercial licence grants the right to use StageCUE but does not replace reasonable professional testing and preparation.

20. Licensee Responsibilities

The Licensee is responsible for lawful use of StageCUE, correct configuration, compatible equipment, project backups, file security, pre-event testing, appropriate backup systems and accurate information supplied during licensing.

21. Software Performance and Statutory Conformity

StageCUE is professional software whose operation may depend on operating-system versions, drivers, audio and video hardware, networks, third-party software and computer configuration.

For business users, StageCUE is supplied subject to the specifications and warranties expressly stated in the applicable contract and mandatory law.

For EU/EEA consumers, nothing in these Terms excludes mandatory statutory rights relating to digital content.

Where applicable, consumers are entitled to digital content that conforms to the contract and to the remedies provided by applicable consumer law.

22. EU/EEA Consumer Digital Content Rights

Where Directive (EU) 2019/770 or corresponding national implementing legislation applies, StageCUE digital content must be supplied in accordance with the applicable contract and statutory requirements.

If the digital content does not conform to the contract, the consumer may be entitled to have it brought into conformity free of charge and within a reasonable period.

Where the statutory conditions are satisfied, the consumer may also be entitled to a proportionate price reduction or termination of the contract and reimbursement.

Any statutory obligation to provide updates, including security updates necessary to maintain conformity, applies for the period required by applicable law.

If national law provides additional or stronger consumer rights, those rights remain unaffected.

23. EU/EEA Right of Withdrawal

Consumers purchasing StageCUE online in the EU/EEA may have a statutory 14-day right of withdrawal, subject to applicable law and exceptions for digital content.

For digital content not supplied on a tangible medium, the right of withdrawal may be lost after supply begins only where the consumer has:

  • given prior express consent for supply to begin during the withdrawal period;
  • acknowledged that beginning supply may result in loss of the right of withdrawal; and
  • received the legally required confirmation from the trader.

If these legal requirements are not satisfied, the consumer retains the rights provided by applicable law.

The right of withdrawal is separate from statutory rights relating to defective or non-conforming digital content.

24. Immediate Licence Supply

Where a customer requests immediate generation and supply of an individual StageCUE digital licence before expiry of the statutory withdrawal period, the website may request separate express consent.

The relevant consent should not be pre-selected.

The checkout may use wording such as:

I expressly consent to the immediate supply of the StageCUE digital licence before the end of the statutory withdrawal period and acknowledge that, once supply begins, I may lose my right of withdrawal in accordance with applicable law.

Confirmation of this consent should be provided to the customer on a durable medium, such as email, where required by law.

25. Refunds and Statutory Remedies

Nothing in these Terms excludes any refund, price reduction, termination or other remedy that must be provided under mandatory consumer law.

Where a statutory reimbursement is due, it will be processed without undue delay and within the period required by applicable law.

Business-to-business cancellations and refunds are governed by the applicable offer, individual agreement and mandatory law.

26. Privacy and Data Protection

StageCUE does not transmit user projects, audio files, video files or other production materials to the Licensor unless a specific function requires such transfer and the user initiates or authorises it.

Personal data collected through the website or licensing process may be processed for:

  • order fulfilment;
  • payment processing;
  • identification of the Licensee;
  • licence generation;
  • fraud and security prevention;
  • legal and tax compliance;
  • technical support.

Where Regulation (EU) 2016/679 (GDPR) applies, personal data will be processed in accordance with applicable data-protection requirements and the StageCUE Privacy Policy.

27. Software Security and Official Distribution

Users should download StageCUE only from official sources designated by the Licensor.

The Licensor is not responsible for unauthorised versions modified, repackaged or distributed by third parties, except where liability cannot lawfully be excluded.

28. Limitation of Liability

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by applicable law.

For business users, to the maximum extent permitted by applicable law and subject to any individually agreed contract, the Licensor is not liable for indirect or consequential loss, loss of profit, interruption of business, loss of unsaved data, event delay or cancellation, or failures caused by third-party equipment, software, networks or incorrect configuration.

For consumers, this limitation applies only to the extent permitted by mandatory law and does not restrict statutory remedies relating to failure to supply or lack of conformity.

29. Suspension or Termination for Breach

The Licensor may suspend or terminate a licence in the event of a material breach, including:

  • unlawful distribution of StageCUE;
  • unauthorised resale or sublicensing;
  • use or distribution of forged licences;
  • circumvention of licensing controls;
  • infringement of StageCUE intellectual property rights.

Where appropriate, the Licensor may provide notice and a reasonable opportunity to remedy the breach before termination.

This does not affect mandatory consumer rights.

30. Prices and Taxes

The Licensor may change prices and future licence offers at any time before an order is concluded.

A subsequent price change does not alter the price already agreed and paid for an existing order.

VAT and other applicable taxes will be handled in accordance with the legal requirements applicable to the transaction.

Customers are responsible for providing accurate billing and tax information.

31. Required Information Before Purchase

Before an EU/EEA consumer places an online order, the website should clearly provide, where applicable:

  • the identity and contact details of the trader;
  • the main characteristics of StageCUE and the selected licence;
  • functionality, compatibility and interoperability information;
  • the total price including applicable taxes;
  • payment and supply arrangements;
  • licence duration and device restrictions;
  • withdrawal information;
  • information about statutory conformity rights;
  • complaint and support information.

The checkout interface must clearly indicate that placing the order creates an obligation to pay.

The customer should receive confirmation of the contract and applicable terms on a durable medium, such as email, where required by law.

32. Corporate and B2B Licensing

Where a customer acts wholly or mainly for business, professional or organisational purposes, consumer-specific statutory rights generally do not apply unless mandatory law provides otherwise.

Corporate customers may enter into separate written agreements covering:

  • multiple workstations;
  • corporate deployment;
  • invoicing and payment;
  • technical support;
  • service levels;
  • custom StageCUE development;
  • confidentiality;
  • procurement requirements;
  • other individually agreed commercial conditions.

Where an individually negotiated corporate agreement conflicts with these general Terms, the individually agreed terms prevail for the relevant subject matter.

33. Changes to These Terms

The Licensor may update these Terms for future purchases.

Changes will not retroactively reduce an already purchased fixed licence period or remove contractual rights where doing so would violate applicable law.

Where consumer law requires prior notice, consent or a right to terminate following a contractual modification, those requirements will be respected.

34. Governing Law and Jurisdiction

Subject to the mandatory consumer protections described below, these Terms and business-to-business contracts are governed by the laws of the Russian Federation unless an individual written agreement provides otherwise.

Where the Licensee is a consumer and applicable EU/EEA law provides mandatory protection based on the consumer’s country of habitual residence, the choice of law above does not deprive the consumer of that mandatory protection.

Nothing in these Terms restricts a consumer’s rights regarding competent courts or jurisdiction where such rights are granted by mandatory applicable law.

The parties are encouraged to attempt to resolve disputes amicably before commencing formal proceedings.

35. Relationship with the EULA and Other Policies

These Commercial Licensing Terms apply together with the StageCUE End User Licence Agreement (EULA).

The EULA governs permitted use of StageCUE, while these Terms additionally govern purchase and commercial licensing.

Depending on the transaction, the following documents may also apply:

  • Privacy Policy;
  • Cookie Policy;
  • Refund and Withdrawal Policy;
  • Website Terms;
  • Corporate Licence Agreement.

Mandatory applicable law always prevails over contractual terms that cannot lawfully override it.

36. Language and Interpretation

This English version is intended for international use.

Where StageCUE legal documents are available in more than one language, the applicable contract may identify the controlling language, subject to mandatory requirements concerning transparency, comprehensibility and consumer protection.

Section headings are provided for convenience and do not affect legal interpretation.

38. Final Provisions

Purchase and use of a commercial StageCUE licence constitutes acceptance of these Terms and the EULA, subject to any separate consent requirements imposed by applicable law.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain effective to the extent permitted by law.

Failure to enforce any provision does not constitute a waiver of that provision.

Nothing in these Terms limits or excludes rights that cannot legally be excluded or restricted.
